The following document outlines the terms of use of the The WP Gurus website. You can also review our Privacy Policy, which outlines our practices towards handling any personal information that you may provide to us.

Before using any of the The WP Gurus services, you are required to read, understand and agree to these terms. You may only create an account after reading and accepting these terms. THE LEGAL AGREEMENTS SET OUT BELOW GOVERN YOUR USE OF THE THE WP GURUS SERVICES (“SERVICES”). BY USING THE THE WP GURUS SERVICES YOU AGREE TO THESE TERMS, AS SUCH MAY BE AMENDED FROM TIME TO TIME AT THE WP GURUS’S ABSOLUTE DISCRETION. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICES.

Acceptance of Terms

The web pages available at thewpgurus.com and all linked pages (“Site”), are owned and operated by The WP Gurus. (“The WP Gurus”) and is accessed by you under the Terms of Use described below (“Terms”).

Please read these terms carefully before using the services. By accessing the site, viewing any content or using any services available on the site (as each is defined below) you are agreeing to be bound by these terms, which together with our Privacy policy, governs our relationship with you in relation to the site. If you disagree with any part of the terms then you may not access the site.

Description of service

The Site is an online service that offers support to operators of websites running on single-site installations of WordPress. Services include, but are not limited to, any service and/or content The WP Gurus makes available to or performs for you, as well as the offering of any materials displayed, transmitted or performed on the Site or through the Services.

Your access to and use of the Site may be interrupted from time to time as a result of equipment malfunction, updating, maintenance or repair of the Site or any other reason within or outside the control of The WP Gurus. The WP Gurus reserves the right to amend, suspend or discontinue the availability of the Site and/or any Service and/or remove any Content at any time at its sole discretion and without prior notice.

The WP Gurus service does not support multi-site WordPress installations.

The WP Gurus is not affiliated with the WordPress Foundation, WooCommerce or Automattic.

Registration

As a condition to using Services, you are required to open an account with The WP Gurus and to provide registration information, once you have submitted your registration details, The WP Gurus will create a username and password for you to access our online ticket support system. The registration information you provide must be accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your The WP Gurus account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Don’t reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify The WP Gurus of any security breach of your Account. The WP Gurus shall not be responsible for any losses arising out of the unauthorized use of your Account. You are responsible for maintaining the confidentiality of your password and are solely responsible for all activities resulting from the use of your password and conducted through your The WP Gurus account.

Services are available only to legal entities and to individuals who are at least 18 years old.

The term “you” or “your” as used herein shall at all times include the individual or legal entity which has subscribed to the The WP Gurus Services hereunder, including but not limited to any and all persons and/or legal entities with which it is affiliated and/or associated, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns.

The WP Gurus Support Channels

We will only provide Support Services through our online support ticket system. You can access our live support ticket system by visiting our support center. We don’t provide our Support Service through any other channel apart from our hourly support service, which includes e-mail support. Only in special circumstances whereby both The WP Gurus and client agree to use other forms of communication – such as e-mail, will e-mail support be actively used as opposed to the support center.

All client support tickets and communications are confidential and are between you and our support team. Although we only accept tasks through our support ticket system, you may contact us if you have questions or would like some information by e-mail. Simply visit our contact page.

Providing Login Details

The WP Gurus will ask you for your hosting, FTP and WordPress login details and any other login credentials if necessary to accomplish your tasks.

This information is safe with us, and it is completely confidential. No one will have access to your website except our support team.

What The WP Gurus Support Service Covers

We only support WordPress websites. Our Support Service includes but it’s not limited to:

styling elements with CSS
content population & image manipulation
theme/ plugin audits
Updating WordPress and Plugins (Auto-Updates)
optimising html, css and images
Improving site speed
WordPress Security Improvements
Anti-Spam and Malware Prevention
updating/editing a page, menu, blog post (if content provided)
WordPress consulting (advice and support)
Creation of basic graphics (e.g banners, buttons etc)
Plugin installation and implementation

What The WP Gurus Support Service Doesn’t Cover

any tasks that require more than the allotted service hours of your support package.
supporting websites that are not run on WordPress or WooCommerce.
graphic and web design services (unless specifically agreed upon with The WP Gurus team).
developing and designing websites and solutions from scratch (unless agreed upon with The WP Gurus team).
off-site SEO services.
Hosting/Server Issues – if your website isn’t hosted with us. Although, we do commonly provide advice and support or backups in the event your site goes down.

We reserve the right to turn down any task requests if they are outside the scope of our service. We always notify our customers, when possible, in advance in any such cases.

Opening Times

The WP Gurus provides a 24/7 support ticket system, but provides no guarantee either express or implied on the timeframe of when a support request can or will be resolved. Our standard working hours are 24 hours Monday – Sunday.

Payment / Subscription Terms

You must register on thewpgurus.com to use the Services, and you agree to keep your registration information accurate, complete and up-to-date as long as you continue to use the Services.

If you sign-up for one of our support plans, you agree to pay the monthly/annual subscription and any variable usage-based fees, if any, for the account type you have selected and agree to any applicable restrictions and quotas.

If you use PayPal, Stripe or a credit card for payment, you authorise The WP Gurus to automatically renew your monthly subscription and charge the then-current renewal fees to the PayPal/stripe account or credit card associated with your account.

Changes to your subscription plan, features or pricing

If we inform you of a change to your current maintenance plan, we will do so with as much notice as possible. Usually, if possible we will continue your subscription on it’s current terms until it would renew the following date or month.

Should you wish to continue with the new plan offering, we would run your current plan until it’s expiry and then necessary changes and pricing adjustments would be made moving forward from then. Unless otherwise stated or agreed upon by both parties.

Should you wish not to continue with The WP Gurus’s maintenance service should a price increase/ decrease or plan alteration be suggested, we will provide maintenance under your current plan until it’s next expiration date.

For example, your plan renews each month on the 5th of the month. We inform you on the 10th of that month of a service / plan alteration and you wish to cancel, we would provide the original service until your next billing date (5th of the corresponding month), no further payments would be taken and we would no longer provide maintenance or any features of our service to you henceforth.

In some cases or scenarios, The WP Gurus reserve the right to cancel your plan immediately and without notice, for any reason. In this scenario, we may potentially refund you the monthly support plan (1 month of your plan), this will be decided on a case by case basis and decided upon with knowledge of whether your monthly support allowance has been utilised for the month already.

On termination or expiration of your account or this Agreement, you will no longer have the right to continue to use the Software and the Services, and you will no longer be able to access and restore your backup data. Also, upon termination under this Agreement, you specifically agree that The WP Gurus holds no responsibility for the state, condition or maintenance of your website and has no obligation to provide you or anyone else with a copy of your backup data and that The WP Gurus may automatically purge your backup data from any systems used by The WP Gurus to backup your data.

Cancellation/ Cancelling your subscription

You can cancel your subscription at any time without any costs, provided you fill out the cancellation request form. Service will continue until the end of the current billing period, but no service fees will be refunded for the current billing period.

You can access the cancellation form when you are logged in to your client dashboard, simply click “cancellation request” on the left hand side of the menu. Alternatively, simply email us at hello@thewpgurus.com

All we ask for is notice. As long as you do that prior to your next billing/card payment date, we will process the cancellation asap and you will not incur any future charges or cancellation fees.

Discounts / Terms of offer

If you have signed up for one of our support packages, any discounts agreed upon with your order will be honoured throughout the period specified by your plan. If the account owner fails to pay for services within five days of the payment due date or discontinues a support plan, any and all discounts applied to the user’s account in past payments will not be applied to future payments.

Prices for the Services may change at any time at The WP Gurus’s sole and exclusive discretion. The Services do not provide price protection or refunds in the event of a price reduction or promotional offering.

Payment Failure

YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING THE WP GURUS WITH A VALID PAYMENT METHOD FOR PAYMENT OF ALL FEES.

We reserve the right to refuse Services or cancel your subscription and revoke your membership access with a prorated refund for any reason we deem appropriate. You may not resell, share, or publish subscription credentials or access.

Use of service and rented content

You agree that the Service may include security technology that limits your use and that you shall use the Service in compliance with the applicable usage rules established by The WP Gurus and its licensors (“Usage Rules”), and that any other use may constitute a copyright infringement. The WP Gurus reserves the right to modify the Usage Rules at any time. You agree not to violate, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security technology related to such Usage Rules for any reason—or to attempt or assist another person to do so. Usage Rules may be controlled and monitored by The WP Gurus for compliance purposes, and The WP Gurus reserves the right to enforce the Usage Rules without notice to you. You agree not to access the Service by any means other than through software that is acceptable to The WP Gurus. You shall not access or attempt to access an account that you are not authorized to access. Violations of system or network security may result in civil or criminal liability.

Passwords & Security

You are responsible for keeping your passwords secure, and you agree not to disclose your passwords to any third party. You are solely responsible for any activity that occurs under your user names and accounts, including any sub-accounts. You must notify The WP Gurus immediately of any unauthorised use of your accounts or any other security breach related to the Services. If The WP Gurus determines that a security breach has occurred or is likely to occur, The WP Gurus may suspend your accounts and require you to change your usernames and passwords.

Privacy Policy

You agree that The WP Gurus collection, use and disclosure of your personal information, backup data or any other data will be governed by The WP Gurus’ Privacy Policy, which is incorporated into this Agreement by reference, and is available in its entirety here: https://www.thewpgurus.com/privacy/

Compliance with Laws & Acceptable Use

You are solely responsible for your conduct related to the Services and Software.

You specifically agree that you will not use the Software or Services to:

violate any laws or regulations;

infringe the intellectual property or other rights of third parties;

transmit any material that contains viruses or other harmful computer code or files such as Trojan horses, worms or time bombs.

Indemnity

This indemnity obligation will survive the termination or expiration of your account and this Agreement. You agree to defend, indemnify, and hold The WP Gurus, its suppliers, resellers, partners and their respective affiliates harmless from and against any claims, liabilities, damages, losses and expenses, including reasonable attorney fees and costs, made by any third party due to your use of the Services, your connection to the Services or Software, your violation of this Agreement, or your violation of any rights of another.

Intellectual Property Protection

The WP Gurus respects the intellectual property of others and requires that users of the Services and Software do the same. When you use our Services, you may not upload, store, share, display, post, e-mail, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. If you are found to be in violation of intellectual property, The WP Gurus will terminate your accounts.

Refusal of service

The WP Gurus (thewpgurus.com) reserves the right to refuse service at any time, to any individual, website, or blogs that contain offensive, obscene, hateful, malicious content or any other reason.

Limitations to Website Updates

By subscribing to one of our plans, you authorise us to update all of the WordPress core files, the active theme, and all of the active plugins as needed. We update all WordPress plugins and themes (when a new release is available) that allow automatic updates. By automatic updates, we mean all themes and plugins that can be updated from within the WordPress Dashboard. We will not update any themes or plugins that require a file upload.

We perform all updates after confirming that your website was successfully backed up. We will only update plugins and themes that are compatible with the version of WordPress that you have installed. We will only update the WordPress core files if all your plugins are compatible with the latest version of WordPress. If after performing any update, your website is not working as it should, we will restore your website for free to how it was before the update.

When a new release of a plugin or theme is available, it can take us up to 72 hours to perform the updates because we first need to verify that the updates are compatible with your current WordPress version. Sometimes due to plugin or theme conflicts, we may refrain from updating to the latest version of said plugin. This is for your safety and security. Updating a plugin without researching into any known conflicts from it’s latest release is unwise. Because of this, we will refrain from updates on certain plugins/themes if there is known or publicised issues, bugs or errors with it’s latest release.

We will generally update inactive themes and plugins for security reasons but we highly recommend that you delete all inactive themes and plugins.

We will never delete a plugin or theme without your prior written consent. We typically start all backups at 12 AM GMT and then perform all updates after confirming that your website was successfully backed up. It is your sole responsibility to notify us via email if you notice that your website is not working properly after any updates are performed and ask us to restore your website to the latest backup version.

If we have to restore your website, we can not recover any content, posts, pages, or any changes that occurred between the time the backup was created and the time the website was restored.

Term & Termination

This Agreement, and any posted revisions, remain in effect as long as you continue to maintain an account or use the Services. You may terminate your account at any time, for any reason, by following the instructions on the Site and discontinuing use of the Services.

The WP Gurus may terminate your account and this agreement immediately, without notice, for any reason.

The WP Gurus will also terminate your account if you fail to renew your subscription, fail to pay any fees or invoices after seven days when due, or otherwise fail to comply with this Agreement.

Third party materials

Certain services available may include materials from third parties. The WP Gurus may provide links to third-party websites as a convenience to you. You agree that The WP Gurus is not responsible for examining or evaluating the content or accuracy and does not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that The WP Gurus is not in any way responsible for any such use by you.

Disclaimer of Warranties

YOU SPECIFICALLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. The WP Gurus, ITS SUPPLIERS, RESELLERS, PARTNERS AND THEIR RESPECTIVE AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN PARTICULAR, The WP Gurus, ITS SUPPLIERS, RESELLERS, PARTNERS AND THEIR RESPECTIVE AFFILIATES MAKE NO WARRANTY THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) YOUR USE OF THE SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE; (C) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF THE SERVICES WILL BE ACCURATE OR RELIABLE; AND (D) ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. YOU FURTHER ACKNOWLEDGE THAT THE SERVICES ARE NOT INTENDED OR SUITABLE FOR USE IN APPLICATIONS THAT COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.

Limitation of Liability

In no event shall The WP Gurus be liable to You under any legal or equitable theory, including but not limited to contract, tort, strict liability, negligence, common law or with respect to the site, the service or any content (i) for any lost profits, loss of use, or actual, special, indirect, incidental, punitive, or consequential damages of any kind whatsoever. You understand that your sole remedy for any damages you allege have been sustained as a result of the Services is to cancel your subscription.

THE WP GURUS, AND THEIR LICENSEES, AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE YOUR ABILITY TO TERMINATE THE SERVICE EFFECTIVE UPON RECEIPT BY THE WP GURUS OF YOUR WRITTEN NOTICE OF TERMINATION, TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW.

General

You acknowledge that use of the Services and Software may be subject to the export and import laws of the United Kingdom and other countries. You agree to comply with all export and import laws and regulations. You agree that you will not use the Services and Software for any purposes prohibited by United Kingdom law, including the development, design, manufacture or production of missiles, nuclear, chemical or biological weapons. this Agreement and the relationship between you and The WP Gurus will be governed by the laws of United Kingdom, excluding its conflicts of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in United Kingdom to resolve any dispute or claim arising from this Agreement. As to intellectual property rights, you specifically agree that The WP Gurus may file an action in any jurisdiction to protect or enforce its rights. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement. this Agreement constitutes the entire agreement between you and The WP Gurus and completely replace any prior agreements between you and The WP Gurus in relation to the Services and Software. If any part of this Agreement is held invalid or unenforceable, that portion will be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions will remain in full force and effect. The failure of The WP Gurus to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. You agree that, except as otherwise expressly provided in this Agreement, there will be no third-party beneficiaries to this agreement. You agree that any claim or cause of action related to this Agreement or the use of the Services and Software must be filed within one (1) year after the cause of action arose or be forever barred.

You may not assign or transfer any of your rights or obligations under this Agreement to a third party without the prior written consent of The WP Gurus. The WP Gurus may freely assign this Agreement to a third-party in the future.

Changes to This Agreement

The WP Gurus reserves the right at any time to modify, suspend, or discontinue providing the Services, in whole or in part, without notice. While not obligated to do so, The WP Gurus will use commercially reasonable efforts to notify you of any such action by sending you an e-mail, an in-client message or by posting relevant information on the Sites. The WP Gurus reserves the right to modify this Agreement at any time, and each such modification will be effective upon posting on the Site. All material modifications will apply prospectively only. Your continued use of any Services following any such modification constitutes your agreement to be bound by the modified Agreement. To stay informed of any changes, please review the most current version of this Agreement posted on the Site. If you do not agree to be bound by this Agreement, you must stop using the Services immediately.

Miscellaneous

No agency, partnership, joint venture, or employment is created as a result of the Terms and you do not have any authority of any kind to bind The WP Gurus in any respect whatsoever. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. The WP Gurus shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond The WP Gurus’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). If any provision of the Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable. The WP Gurus may transfer, assign or delegate the Terms and its rights and obligations without your consent.
